Petroleum Traders Corporation Account Portal Terms and Conditions

Please read these Terms and Conditions and the Privacy Policy before using Petroleum Traders Corporation's Account Portal (the "Account Portal"). These Terms and Conditions apply to the Account Portal and set forth the terms and conditions on which Petroleum Traders Corporation offers its Customers access to and use of the Account Portal. Petroleum Traders Corporation's Privacy Policy is incorporated by reference into these Terms and Conditions.
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY PLACING AN ORDER THROUGH OR OTHERWISE ACCESSING OR USING THE ACCOUNT PORTAL, YOU (HEREINAFTER, "CUSTOMER") ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS.
Requirements to Use Account Portal
You may not access and use the Account Portal unless: (i) you have been issued an account by Petroleum Traders Corporation to use the Account Portal; (ii) you have read these Terms and Conditions and the Privacy Policy; and (iii) you have acknowledged that you've read, understand and agreed to these Terms and Conditions, including the Privacy Policy, by choosing "I Agree to the Terms and Conditions". Access to and use of the Account Portal is limited to qualified, independent purchasers of unbranded fuel that have been issued an account for the Account Portal by Petroleum Traders Corporation and meet and agree to the Terms and Conditions as set forth herein. You are responsible for making all arrangements necessary for you to have access to the Account Portal. By accessing or using the Account Portal, Customer represents and warrants that it meets, and will at all times during its use of the Account Portal continue to meet and comply with the foregoing requirements. All other access to or use of the Account Portal without the express written consent of a duly authorized representative of Petroleum Traders Corporation is prohibited.
To access and use the Account Portal, each of Customer's authorized users must establish a unique user account. Customer is responsible for: (i) designating and supervising its authorized users; (ii) establishing (by requesting from Customer's account representative) and overseeing and managing access privileges; and (iii) disabling accounts (by notifying Customer's account representative) when access is no longer required for each authorized user, including immediately upon termination of an authorized user's employment or affiliation with Customer.
Customer will maintain in strict confidence, and will ensure that its authorized users maintain in strict confidence, all user login credentials. Customer will notify Petroleum Traders Corporation immediately upon discovering any known or suspected unauthorized access to, misuse of, or breach of security of the Account Portal, and will provide all information and take all reasonable steps requested by Petroleum Traders Corporation in connection therewith. Customer is responsible for its authorized users' acts and omissions in connection with the Account Portal and for all activities occurring under Customer's account(s). Petroleum Traders Corporation does not guarantee that the Account Portal, or any content on it, will always be available or be uninterrupted. Access to the Account Portal is on a temporary basis. Petroleum Traders Corporation reserves the right to suspend, withdraw, suspend access to, use of, or availability of the Account Portal or any part thereof without notice. Petroleum Traders Corporation will not be liable to you if for any reason the Account Portal or any part thereof is unavailable at any time or for any period.
Petroleum Traders Corporation may condition its permission for a Customer to use the Account Portal on the Customer's compliance with the section entitled "Customer's Credit Terms" herein.
Petroleum Traders Corporation may suspend a Customer's ability to use the Account Portal as provided in these Terms and Conditions.
Upon the suspension, expiration or termination of Customer's access to or use of the Account Portal for any reason: (i) Customer and its authorized users will immediately cease all access to and use of the Account Portal; and (ii) all rights and licenses granted by Petroleum Traders Corporation under these Terms and Conditions will automatically and immediately terminate.
Acceptable Use; Prohibited Activity
Subject to your compliance with these Terms and Conditions, you may access the Account Portal and display and use its contents, and we grant you a limited, non-exclusive, non-transferable right to access and use the content and services made available on the Account Portal.
In using the Account Portal, you must not:
- other than as permitted in these Terms and Conditions, copy, reproduce, distribute, transmit, display, perform, publish, license, modify, translate, adapt, create derivative works from, transfer, sell or otherwise exploit the Account Portal, or any content, information, software, products or services obtained through the Account Portal, for any commercial purpose or enterprise;
- use the Account Portal or any content thereon for any purpose that is unlawful or prohibited by these Terms and Conditions;
- solicit the performance of an illegal activity or other activity which infringes Petroleum Traders Corporation's rights or the rights of other individuals or entities;
- post, send or otherwise transmit to or through the Account Portal any unlawful, infringing, harmful, harassing, defamatory, threatening, vulgar, sexually explicit, hateful or otherwise objectionable material of any kind, any material that exploits children or is invasive of or in breach of another person's privacy or other rights or any material that Petroleum Traders Corporation in its sole discretion does not wish posted or transmitted on the Account Portal;
- use any material accessed through the Account Portal in any way that is invasive or in violation of any person's privacy or other rights;
- defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
- upload or otherwise make available, files that contain images, software or other material protected by intellectual property laws, including without limitation copyright or trademark laws and rights of publicity and privacy unless you own or control the rights thereto or have received all necessary authorizations to do the same;
- access or use any personal data or sensitive personal data for any purpose other than the specific purpose for which you have access to such data;
- misrepresent your identity or affiliation in any way;
- engage in deceptive online marketing;
- violate any applicable laws or regulations; or
- assist or permit any persons in engaging in any of the activities described above.
Petroleum Traders Corporation retains the right to determine what constitutes an unauthorized use of the Account Portal at its sole discretion. Unauthorized use includes, without limitation, security violations listed under the section entitled "Site Security; Security Violations".
Site Security; Security Violations
You agree that will not use the Account Portal in any manner that could damage, disable, overburden, or impair the Account Portal or interfere with any other person's or party's use and enjoyment of the Account Portal. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Account Portal.
You are prohibited from violating, or attempting to violate, the security of the Account Portal. Any such violations may result in criminal or civil liabilities to you. Petroleum Traders Corporation may investigate any alleged violations and will cooperate with law enforcement agencies and their investigations.
Violations of the security of the Account Portal include, without limitation:
- decompiling, disassembling or reverse engineering the Account Portal or any portion thereof;
- accessing data or taking any action to obtain products or services not intended for you or your use;
- attempting to probe, scan, or test the vulnerability of any system, subsystem or network;
- tampering, hacking, modifying, or otherwise corrupting or breaching security or authentication measures without proper authorization;
- sending unsolicited communications, promotions, or advertisements or spam;
- transmitting material that contains viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines or engines with the intent or effect of damaging, destroying, disrupting or otherwise impairing a computer's functionality or the operation of the Account Portal;
- interfering with, intercepting, or expropriating any system, data, or information;
- using any device, software, or routine to interfere with or attempt to interfere with the proper working of the Account Portal;
- using or attempting to use any mechanism (including, without limitation, browsers, spiders, robots, avatars, or intelligence agents) to navigate or search the Account Portal other than through the search engine and search agents available on the Account Portal and other than generally available third-party Web browsers; or
- attempting to gain unauthorized access to the Account Portal, any portion thereof, or other computer systems or social media or mobile platforms through the Account Portal.
User Submissions; No Confidentiality
You must exercise caution, good sense and sound judgment in using the Account Portal. You are responsible for any material you place on or transmit to or through the Account Portal. You agree, represent and warrant that any information you post to or transmit through the Account Portal is truthful, accurate, not misleading and offered in good faith, that you have the right to post or transmit such information, and you own or control all rights in and to such information and have the right to grant the license granted below to Petroleum Traders Corporation, its representatives, and their respective licensees, successors and assigns. Such information (including without limitation, data, text, software, graphics or any other materials whatsoever), whether publicly posted or privately transmitted, is your sole responsibility. In connection with the use of certain websites and/or tools, you may provide personal data about others. It is your responsibility to ensure that any information you provide is in accordance with applicable laws including with respect to providing notice and/or obtaining consent from the person(s) the information is about.
You must not transmit any material to or through the Account Portal that you consider to be confidential or proprietary. Any material that you transmit to or through the Account Portal will be considered non-confidential and non-proprietary. This policy serves to avoid potential misunderstandings or disputes regarding ownership of ideas.
Except as expressly provided in these Terms and Conditions or separate written agreement between you and Petroleum Traders Corporation, you give Petroleum Traders Corporation, its representatives, and their respective licensees, successors and assigns an unrestricted, perpetual, irrevocable, worldwide, royalty-free, fully-transferable, assignable, and sublicenseable right and license to use, copy, reproduce, display, publicly perform, adapt, create derivative works from, modify, transmit, disclose, and distribute such information in any form or medium or otherwise exploit all such content embodied therein. You further agree that Petroleum Traders Corporation has the right to use, without any payment or accounting to you or others, any concepts, know-how or ideas that you (and those who act on your behalf) transmit to or through the Account Portal.
Petroleum Traders Corporation reserves the right, but does not have a duty, to monitor any information transmitted or received through the Account Portal. Each visitor submitting information to the Account Portal is solely responsible for whatever material is submitted by such person and will have sole responsibility for the message, including its legality, reliability, and appropriateness. Petroleum Traders Corporation, at its sole discretion and without prior notice, may at any time review, change, remove, or otherwise block any material posted.
Laws and Regulations
Access to and use of the Account Portal is subject to all applicable international, federal, state, and local laws, rules, and regulations.
Proprietary Rights
The Account Portal may contain material, including text, graphics, logos, photographs, documents, other images and sound, software, market quotations, and price charts which is protected by copyright and/or other intellectual property rights. All copyright and other intellectual property rights in such material are either owned by Petroleum Traders Corporation or have been licensed to it by the owner(s) of those rights. The compilation, collection, arrangement, and assembly of all content on the Account Portal is the exclusive property of Petroleum Traders Corporation and protected by copyright laws. All design rights, databases, and other intellectual property rights, whether registered or unregistered, and related goodwill are proprietary to Petroleum Traders Corporation. All such rights are reserved.
The content and software on the Account Portal may be used for conducting business on the Account Portal. Any other use, including reproduction, modification, distribution, transmission, republication, display, or performance, of the content on the Account Portal is strictly prohibited.
In the event you download software from the Account Portal, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") is licensed to you by Petroleum Traders Corporation. Petroleum Traders Corporation does not transfer title to the Software to you. You may own the medium on which the Software is recorded, but Petroleum Traders Corporation retains full and complete title to the Software, and all intellectual property rights therein. You may not redistribute, sell, decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-perceivable form, except to the extent permitted by applicable law and on giving Petroleum Traders Corporation prior written notice of such activities.
Trademarks, service marks, logos, and trade names, whether registered or unregistered, are proprietary to Petroleum Traders Corporation or to other companies where so indicated. You may not alter, reproduce, download, or otherwise use any such trademarks, service marks, logos, or trade names without the prior written consent of the appropriate owner thereof. Not all marks of Petroleum Traders Corporation will appear on the Account Portal and not all products or services listed on the Account Portal are available for sale in every state or country. All trademarks and trade names included on the Account Portal belong to Petroleum Traders Corporation or have been licensed to it by the owner(s) of those trademarks for use on the Account Portal, and none of such trademarks or trade names are being transferred or licensed for any use by any visitors to the Account Portal other than those specifically allowed herein.
Links to Other Websites
As you view the Account Portal, they may be links to websites operated by third parties. These links are for convenience only. If you decide to access a third-party's website through a link provided by the Account Portal, you do this at your sole risk. These Terms and Conditions do not apply to these linked websites. Each website should be checked for its own terms and conditions. You expressly release Petroleum Traders Corporation from any and all liability arising from your use of any third-party website, service, or content and agree that your dealings with any third-party website, service, or content is only between you and such third party. You agree that Petroleum Traders Corporation is not responsible for any loss or damage or any sort arising from your dealings with such third parties, including, without limitation, damage caused by any viruses or other damaging elements encountered in linking to a third-party website. Petroleum Traders Corporation makes no representation or warranty regarding, and is not responsible for, the linked websites or the content of such websites.
Termination; Survival
These Terms and Conditions shall continue in full force and effect until terminated. Petroleum Traders Corporation may terminate these Terms and Conditions for convenience at any time upon notice to you. You also have the right to stop using the Account Portal at any time. Notwithstanding the foregoing, with respect to you, these Terms and Conditions shall terminate without any further action needing to be taken by Petroleum Traders Corporation upon any breach by you of these Terms and Conditions. Upon termination for any reason whatsoever all licenses granted to you hereunder shall immediately terminate and you shall immediately cease and desist all access to and use of the Account Portal and shall immediately destroy all materials obtained from this website and all copies thereof, whether made under the terms of this agreement or otherwise. For the avoidance of doubt, notwithstanding any termination of these Terms and Conditions, you remain liable for all transactions initiated through your use of the Account Portal.
The provisions of these Terms and Conditions concerning site security, prohibited activity, copyrights, trademarks, user submissions, disclaimers, limitation of liability, indemnity, governing law, jurisdiction, waiver of jury trial, and any other provisions which by their terms or nature are intended to survive, shall survive any termination of these Terms and Conditions.
Disclaimers and Limitation of Liability
The Account Portal is provided on an "AS IS," "as available" basis. Neither Petroleum Traders Corporation nor its affiliates, subsidiaries, or designees nor each of their respective officers, directors, employees, agents, third-party content providers, designers, contractors, distributors, merchants, sponsors, licensors or the like (collectively, "associates") warrant that use of the Account Portal will be uninterrupted or error-free, that defects will be corrected, or that the Account Portal or the server that makes it available are free from viruses or other harmful components. Neither Petroleum Traders Corporation nor its associates warrant the accuracy, integrity or completeness of the content provided on the Account Portal. Further, Petroleum Traders Corporation makes no representation that content provided on the Account Portal is applicable or appropriate for use in locations outside of the United States. Petroleum Traders Corporation specifically disclaims warranties of any kind, either expressed or implied, including but not limited to warranties of title or implied warranties of merchantability or fitness for a particular purpose. No oral advice or written information given by Petroleum Traders Corporation, nor its associates, shall create a warranty. Petroleum Traders Corporation does not make any representations or warranties regarding the use or the results of the use of the materials in the Account Portal in terms of their correctness, accuracy, reliability, or otherwise. You expressly agree that use of the Account Portal is at your sole risk. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you.
In addition to the liability limits stated herein, and to the extent permitted by applicable law, under no circumstances shall Petroleum Traders Corporation or its associates be liable for any direct, indirect, incidental, special or consequential damages that result from: (i) the use of or inability to use the Account Portal, including but not limited to reliance by a user on any information obtained at the Account Portal; or (ii) mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction or unauthorized access to Petroleum Traders Corporation records, programs or services. The foregoing limitation of liability shall apply whether in an action of contract, negligence or other tortuous action, even if an authorized representative of Petroleum Traders Corporation has been advised of or should have knowledge of the possibility of such damages. User hereby acknowledges that this paragraph shall apply to all content, merchandise and services available through the Account Portal. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states liability is limited to the fullest extent permitted by law. In no event shall Petroleum Traders Corporation's total liability to you for all damages, losses, and causes of action (whether in contract, tort (including, without limitation, negligence), or otherwise) exceed the amount paid by you to Petroleum Traders Corporation, if any, for using the Account Portal.
Errors will be corrected where discovered, and Petroleum Traders Corporation reserves the right to revoke any stated offer and to correct any errors, inaccuracies or omissions.
While Petroleum Traders Corporation takes steps to ensure the accuracy and completeness of information and third-party services provided, please refer to the originator of information for details, for example the manufacturer and/or web site for complete details.
Indemnity
You agree to indemnify, defend, and hold Petroleum Traders Corporation, its affiliates and any of its and their directors, employees, agents, and contractors harmless from and against any and all claims, damages, losses, costs (including, without limitation, reasonable attorneys' fees) or other expenses that arise directly or indirectly out of or from (i) your breach of these Terms and Conditions; and/or (ii) your activities in connection with the Account Portal.
Changes/Updates
Petroleum Traders Corporation may revise these Terms and Conditions at any time without notice. Although Petroleum Traders Corporation will endeavor to highlight any changes or updates to these Terms and Conditions, you should revisit this site periodically to make sure you are aware of the most recent terms and conditions, because they will be binding on you. Your use of the Account Portal after such changes constitutes your agreement to such changes.
Applicable Law and Venue; Waiver of Jury Trial
These Terms and Conditions and the relationship between the parties shall be governed in all respects, whether as to validity, construction, capacity, performance, or otherwise, by the laws of the State of Indiana. The parties stipulate and agree that exclusive jurisdiction and venue for any cause of action arising between the parties shall be in the Indiana or Federal courts having subject matter jurisdiction and located in Allen County, Indiana.
The parties waive trial by jury as to any dispute, claim or cause of action arising under or relating to these Terms and Conditions.
Notice
Any notice required or allowed under these Terms and Conditions shall be in writing. Except as otherwise required by law, you acknowledge and agree that Petroleum Traders Corporation may provide any notice permitted or required under these Terms and Conditions via the email address you supplied at the time of registration. You further acknowledge and agree that any notice permitted or required to be given by you to Petroleum Traders Corporation under these Terms and Conditions shall be submitted to:

Entire Agreement
These Terms and Conditions set forth the entire agreement of the parties and supersede all prior or contemporaneous prior and contemporaneous proposals, negotiations, agreements and understandings, whether written or oral, pertaining to the subject matter hereof.
Invalid Provision; Severability
The invalidity or unenforceability of any particular provision of these Terms and Conditions shall not affect the other provisions. These Terms and Conditions shall be construed in all respects as if such invalid or unenforceable provision was omitted.
